Workshop Report
Prof. A.K. Vashisht commenced his address with a brief discussion of the concept of corporate governance. While describing the issues in corporate governance he very well explained the objective of teaching corporate governance thereby clearly delineating the need and aims of corporate governance. An effective teacher is one who inculcates values in his students. Further, he elaborated on the contents as well as methodology of teaching corporate governance. Regarding methodology he recommended a mix of different methods viz., lecture method, role-playing, case studies, etc. so as to make learning enjoyable for the students. In order to evaluate quality of teaching various scales could be developed to measure attitudinal and value changes of pupils.
Prof. Vashisht clearly crystallized the meaning and the concept of research and pinpointed that empirical, applied, analytical and normative research can be conducted in the area of corporate governance. He provided steps that should be undertaken to conduct empirical research. It was emphasized that formulation of the research problem should be done in manner that it is significant, contributory and useful to others. The following researchable areas in corporate governance were identified:
- Board characteristics
- Shareholders activism
- Business ethics
- Financial disclosures
- The role of financial institutions
- Comparative corporate governance practices
- Ownership Structure
- CEO and top management team
- Agency costs
He closed the session by emphasising that the revision of values amongst students is probably best set in motion by the teachers. It is possibly the best possible time to question the degree to which we as teachers invoke the right perspective amongst our students.
